Terms of Service
Effective August 2026 · MaterialLogix Studio™, a product of LibraSide Technologies, LLC
1. The agreement
These Terms of Service (the "Terms") are a binding contract between you and LibraSide Technologies, LLC, a District of Columbia limited liability company ("we", "us", "our"), covering your use of MaterialLogix Studio™ and the websites, applications, and services we provide with it (together, the "Service"). Read them before you buy or use anything.
You accept these Terms when you create an account, activate a license, complete a purchase, or use the Service. If you do not accept them, do not use the Service.
If you accept on behalf of a company or other organization, you confirm you are authorized to bind it, and "you" means that organization.
2. What the words mean
- Free Preview: use of the Service without a paid license. Previews are watermarked by design.
- Your Content: the photos, video, audio, voice references, text, and other material you import, create, or export.
- Local processing: work that runs on your own computer.
- Cloud processing: optional work that runs on our infrastructure or a provider we engage, paid from the wallet described in section 7.
- Beta feature: anything we label beta, preview, or experimental.
3. Who may use the Service
You must be at least 18 years old, or the age of legal majority where you live, to create an account, buy a plan, or participate in optional product research or commercial insights. A parent or legal guardian may manage an adult's account where local law permits; that is account administration only and never biometric, voice, or Personal Geometry consent for anyone under 18.
You may not use the Service if you are barred from doing so under applicable law, or if we have previously terminated your account for cause.
4. Your account
- Give accurate account and billing information, and keep it current.
- You are responsible for activity under your account and for keeping your credentials and license key confidential.
- Tell us promptly at admin@materiallogix.com if you believe your account or key has been compromised.
- We may refuse, reclaim, or reassign an account identifier where it infringes rights or impersonates another person.
5. The deal
MaterialLogix Studio™ is software for reviewing, refining, and packaging creative work. Free Preview is available without a paid license; watermarked previews are part of it by design. Paid access is licensed per person on the terms shown before purchase.
6. Your license
Software licensing terms are detailed in the Software License Agreement; use rules for voices and likenesses in the Acceptable Use policy. Both are part of these terms.
- A license key is for one person. Install it on your own devices freely; don't share, resell, or publish it.
- Licensed installs verify with our server periodically; extended offline use beyond the grace window pauses licensed features until the next check succeeds. Verification uses the license or signed-in account, an activated-device reference, and timestamps; it does not transmit creative files.
- Voice Starter is monthly only and includes 30 finished local voice minutes per paid period, one active consented personal voice profile, standard local quality, and unlimited marked audition previews. It has no automatic overage or included cloud credit.
- MaterialLogix Studio comprises four Studios: Photo, Video, Voice, and Music. Single Studio and Single Studio Pro include the one product you select at purchase, which may be Photo, Video, or Voice; Music is not sold on its own. Full Studio and Pro Studio include all four Studios.
- Every plan renews at the end of its term until canceled: monthly every month, three-month every three months, annual every year. We email you before an annual renewal at thirty, seven and one day, and before a three-month renewal at fourteen and three days. Cancel any time from your account; cancelling ends renewal, not the term you already paid for. Checkout shows the exact total and renewal interval before acceptance. Monthly-equivalent figures and savings badges are comparisons, not the amount charged.
- Your Checkout summary identifies the applicable price catalog and term. We do not change the amount of an existing Stripe Price. Any future price applies only as lawfully disclosed; existing recurring subscribers remain on their promised Price unless they clearly accept a change.
7. Cloud wallet
Cloud processing uses a prepaid wallet with a hard stop at zero. Manual refills are customer-chosen one-time charges between $10 and $500; the exact amount is shown before Stripe Checkout. Wallet credit is issued only after confirmed payment and is adjusted for refunds or disputes.
Paid periods for Single Studio (Video), Single Studio Pro (Video), Full Studio, and Pro Studio include $20 of promotional credit for eligible supported cloud video processing, rendering, or upscaling. At the current $3 per output minute rate, one job rounded once in ten-second blocks can use up to 400 seconds (6 minutes 40 seconds). This benefit is not cash, refundable value, or transferable balance; it is spent before purchased wallet funds and expires at the next paid-period boundary without rollover. It does not include arbitrary cloud video generation. Production availability remains subject to validated provider cost and technical acceptance.
Optional automatic top-up is off by default. If you opt in, you choose a low-balance trigger, refill amount, and maximum automatic-refill spend per calendar month, and the exact rules are shown before consent. Stripe stores the payment method, not MaterialLogix™. Authentication may be required by Stripe or your bank. You can disable automatic top-up immediately from your account. Cooldowns, monthly caps, and failure controls apply; repeated failures pause the feature rather than creating a refill loop.
Promotional codes. Free and promotional codes grant local access only and do not include cloud rendering or included cloud credit. When cloud processing is offered for your account, funding a prepaid wallet is how you pay for it.
8. Taxes
Prices shown may exclude sales, use, VAT, GST, or similar taxes. Where we are required to collect them, they are calculated and shown at Checkout and added to your total. You are responsible for any taxes on your own use of the Service other than taxes on our income.
9. Your work is yours
Everything you make with the product belongs to you. We claim no rights over your assets, exports, or voice packs. Watermarked previews exist so unlicensed exports are identifiable as previews; removing watermarks to pass previews off as licensed output is a violation of these terms.
You grant us only the limited permission needed to operate the Service for you: to store, transmit, and process Your Content to perform the task you asked for, and, where you use cloud processing, to pass it to the provider running that job. That permission ends when the processing ends and the material is deleted under the schedule in the Privacy policy. We do not use Your Content to train models.
10. Feedback
If you send us ideas, bug reports, or suggestions, you allow us to use them without obligation or compensation. You keep every other right you hold in the underlying material.
11. Your responsibilities
- Only process people's likenesses and voices with their consent, and only where that person is 18 or older. What is collected and how long it is kept is set out in Voice and biometric data. The product's consent-based design is not a substitute for your own legal obligations.
- Don't use the product to create deceptive, defamatory, or unlawful content, or to violate platform policies you distribute to.
- You are responsible for rights to any material you import.
- Follow the Acceptable Use policy, which forms part of these Terms.
- Do not probe, scan, overload, or interfere with the Service, circumvent licensing or usage limits, or reverse engineer except to the extent that restriction is unenforceable where you live.
12. Beta and preview features
Features labeled beta, preview, or experimental are provided for evaluation. They may change, break, or be withdrawn, and they are excluded from any availability or support commitment. Do not rely on a beta feature for work you cannot afford to lose or redo.
13. Third-party services
Payments are processed by Stripe, and parts of the Service, including sign-in and the phone companion app's encrypted relay, are delivered over Cloudflare. Resend delivers the one-time sign-in code email for the phone companion app. Premium stock-voice narration may send script text you submit to Inworld. When cloud rendering is offered for a Studio, RunPod may process the job files you deliberately submit and approve for that job; local and paired-desktop rendering remain available without it. Your use of those services is also subject to their terms. We are not responsible for third-party services we do not control, but choosing them does not reduce the commitments we make to you in these Terms.
14. Availability and changes to the Service
We aim to keep the Service running, but we do not promise uninterrupted or error-free operation, and we have not committed to a service level. We may add, change, or discontinue features. If we discontinue a paid feature you are actively paying for and it materially reduces what you bought, you may cancel and receive a pro-rated refund of the unused portion of your current term.
15. Suspension and termination
You may stop using the Service and cancel renewal at any time from your account.
We may suspend or terminate access if you materially breach these Terms or the Acceptable Use policy, if required by law, or to protect the Service or other customers from harm. Except where the breach is severe, unlawful, or presents an immediate risk, we will give notice and a reasonable chance to fix the problem first.
On termination your license ends and licensed features stop. Export what you need before then; Your Content stored locally stays on your computer. Sections that by their nature should survive, including sections 9, 10, 16, 17, 18, 19 and 21, survive termination.
16. Refunds
Plan and wallet refund rules are described in the Refunds policy, which forms part of these Terms. Contact admin@materiallogix.com.
17. Disclaimers
The software is provided as-is and as-available. Automated checks are assistance, not guarantees. You approve your own work.
To the fullest extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, that results will be accurate, or that defects will be corrected.
Some jurisdictions do not allow the exclusion of implied warranties or the limitation of statutory consumer rights. Nothing in these Terms excludes or limits any warranty, right, or remedy you have that cannot lawfully be excluded or limited, including under District of Columbia law and any consumer protection law that applies to you. Where such a law applies, our liability is limited to the minimum extent that law permits rather than excluded.
18. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or lost or corrupted data, even if we were told such damages were possible.
To the fullest extent permitted by law, our total liability for all claims relating to the Service in any twelve-month period is capped at the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or fifty US dollars.
These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for our own willful misconduct or gross negligence.
You are responsible for keeping your own backups of Your Content.
19. Indemnification
If you use the Service other than as a consumer for personal use, you will defend and indemnify us against third-party claims, and reasonable legal costs, arising from your Content, your use of the Service in breach of these Terms or the Acceptable Use policy, or your infringement of another person's rights, including rights in a voice, likeness, or copyrighted work. We will tell you promptly about the claim, let you control the defense of it, and cooperate reasonably. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.
20. Export control and sanctions
You may not use or export the Service in violation of United States export control or sanctions laws, and you confirm you are not located in an embargoed territory or on a restricted-party list.
21. Disputes
This section affects how you enforce your rights. It requires most disputes to go to individual arbitration instead of court, and it means you and we are each giving up the right to a jury trial and the right to take part in a class action. You have 30 days to opt out of arbitration and keep your court rights, and opting out costs you nothing.
Talk to us first. Most problems can be fixed quickly. Before filing anything, email admin@materiallogix.com with a description of the issue and what you want. If we cannot resolve it within 30 days, either of us may proceed.
Governing law. These Terms are governed by the laws of the District of Columbia, USA, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Arbitration. If talking does not resolve it, you and we agree that any dispute relating to the Service or these Terms will be settled by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. One arbitrator decides. The arbitration may be held on documents alone, by phone or video, or in person in the county where you live, and the choice is yours. The arbitrator can award the same individual relief a court could, must apply these Terms, and must give reasons. Judgment on the award may be entered in any court with jurisdiction. Where the applicable rules require it, we pay the filing and arbitrator fees for consumer claims.
Small claims stay open. Either of us may instead bring an individual claim in small-claims court, and nothing here stops you from reporting a matter to a government agency.
Claims are brought individually. Neither of us may bring a class, collective, consolidated, or representative action, and the arbitrator may not preside over one or consolidate other people's claims, except under the coordinated-filings process below. This is an essential part of this section: if it is held unenforceable for a particular claim, that claim proceeds in court and the rest of this section still applies to every other claim.
Coordinated filings. If 25 or more similar demands are filed against us by or with the assistance of the same lawyers or a coordinating entity, they will be handled in batches rather than individually. Up to 50 demands proceed at a time before a single arbitrator, with administrative and arbitrator fees assessed per batch, and the remaining demands wait until that batch concludes. Both of us will work with the administrator in good faith to sequence batches promptly and to explore resolving the remainder in between. This paragraph exists to keep coordinated claims workable for both sides, not to delay any individual claim; if it is held unenforceable, the affected demands proceed in court.
Opting out of arbitration. You can keep your court rights by emailing admin@materiallogix.com within 30 days of first accepting these Terms, with your name, your account email, and the words "arbitration opt-out". That is all it takes. Opting out costs nothing, does not affect your account, plan, or price, and we will confirm it in writing. If you opt out, disputes are heard in the courts named below.
Where court claims are heard. For claims not subject to arbitration, because you opted out, because a claim is excluded, or because arbitration is unavailable, the claim will be brought exclusively in the state or federal courts located in the District of Columbia, and both of us consent to the personal jurisdiction of those courts.
If you are a consumer. Nothing in this section deprives you of the protection of the mandatory law, or the right to bring proceedings in the courts, of the country where you live. Where the law that applies to you does not permit arbitration of a dispute, that dispute is not arbitrated.
Time limit. To the extent permitted by law, any claim relating to the Service must be filed within one year after it arises.
Changes to this section. If we change this section, the change does not apply to any dispute we already knew about. You may reject a change to this section by emailing us within 30 days of the notice, which keeps the previous version for you.
22. Housekeeping
- Changes to these Terms. We can update these terms; material changes are emailed to licensed customers and take effect 14 days after notice. Continuing to use the Service after that means you accept the change. If you do not accept it, cancel before it takes effect and we will refund the unused portion of your current term.
- Order of precedence. If these Terms conflict with the Software License Agreement, Acceptable Use policy, Refunds policy, or Privacy policy, the more specific document controls for its subject matter.
- Entire agreement. Together with the documents referenced above and the summary shown at Checkout, these Terms are the entire agreement between us about the Service and replace earlier discussions about it.
- Severability. If a provision is held unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force.
- No waiver. Not enforcing a provision once is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including outages of infrastructure we do not operate.
- Notices. We send legal notices to the email on your account; you send them to admin@materiallogix.com. Keep your email address current.
- Independent parties. These Terms do not create a partnership, agency, employment, or joint venture between us.
